Terms & Conditions for using our Rapid Board
Signboard Management System
The Client :
The company or individual requesting the services of Rapid Board
The licensed owners of the signboard management software used on our website.
The Website: www.rapidboard.co.uk, where all company information is available along with access to the Client Portal
THE RAPID BOARD SERVICE
It is our intention to place your signboards as instructed via our website within a maximum of two business days. We will endeavour to use clean and presentable boards and will notify you if we believe that any need replacing. Where possible we will use metaposts (these will remain the property of Rapid Board) to ensure the stability of your board when placed in the ground. We cannot accept any responsibility for damage caused when following instructions to erect a board using a Metapost or affixing a board to the building or any part of the property.
Our service level assumes that you have given us at least 95% of your boards to manage and that most boards will require three chargeable elements (erecting, adding sold or let slip and removing). We reserve the right to charge extra if it transpires that were are only being used to service ‘difficult’ boards and locations.
Whilst we make every endeavour to ensure that the website and any scripts or programs are free of errors, neither Rapid Board nor their Licensors can accept responsibility for any losses incurred due to malfunction of the website or any part of it.
The website, graphics and any programming code remain the property of the Licensor. Any scripts, cgi applications, php scripts, or software (unless specifically agreed) written by our Licensor remain the copyright of them and may only be commercially reproduced or resold with the express permission of them.
Rapid Board will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
Rapid Board will not be liable or become involved in any disputes between the client(s) and their customers and cannot be held responsible for any wrongdoing on the part of the client.
Rapid Board will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the clients appointed agents.
Rapid Board will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.
In no event shall Rapid Board be liable for any direct, indirect, consequential, special and exemplary damages, or any damages whatsoever, stemming from the use or performance of our website or from any information, products and services provided through our website, even if this website has been advised of the possibility of such damages.
● In the absence of any negligence or other breach of duty by us, your use of our website is entirely at your own risk.
● If we are in breach of the arrangements under this agreement, we will not be responsible for any losses that you suffer as a result.
● We do not have any liability of any sort (including liability for negligence) for the acts or omissions of providers of telecommunication services or for faults in or failures of their networks and equipment.
Where “bugs”, errors or other issues are found Rapid Board and their Licensor will endeavour to correct these issues to meet the standards of function outlined in the service description.
Rapid Board will endeavour to ensure that the website will function correctly when viewed with current and leading web browsing software such as Internet Explorer, Chrome, Firefox and Safari. Rapid Board can offer no guarantees of correct function with all browser software as they constantly change. We suggest that the best results will be obtained with the latest version of your favoured browser.
Rapid Board and our Licensor utilise 3rd party hosting companies, no guarantees can be made as to the availability or interruption of this service. Rapid Board cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
Rapid Board reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate any website service we provide for clients should the necessity arise.
The cost of adding your existing list of boards to our system is £45. Please ask to see if we are running a promotion for new clients. Re-branding after company changes can be quoted for separately if requested.
The nominal area covered by each individual office is deemed to be a 10 mile radius as defined on Google maps. To maintain the stated service level we assume we will be managing at least 95% of your boards for generally three elements, erect, change, remove. We reserve the right to review our charges if this is not the case.
Inside that area the cost per movement is generally £5. From September 1st 2018 V boards will be charged at £6 per movement. More complex board and post arrangements will be quoted for on an individual basis. If the first instruction ( i.e. the creation of a Job) includes a slip or pointer no additional charge is made. All subsequent instructions (Tasks) will be subject to the agreed charge. The zero charge for re-erecting a board after bad weather is only accepted in the first six weeks of the board at a given location. Long term boards that need re-setting due to weather, growth of surrounding trees, vandalism, clients removing them etc. etc. after this time will be charged at the normal rate. These charges may be varied after negotiation with Peter.
Outside that areas quoted we reserve the right to make additional charges to cover our costs in completing the task.
No boards will be placed above first floor window sill level unless a price has been quoted and agreed for each individual board.
There are no charges for creating access and an individual portal for each client and their staff, nor are there charges for password renewals.
We are currently not registered for vat.
Payment of Accounts
We expect our invoice to be paid either by BACS within 30 days of the date of invoice unless written confirmation is given varying these payment terms. If your invoices need to be signed off and passed up your chain of management, please do that as soon as the invoice has been received. Please also log onto your portal and mark the invoice ‘Accepted’ once it has been passed for payment, this helps with our Credit Control.
We must point out that our accounts department will implement the terms of the Late Payment Act 2013 and that if the payment terms stated in our quotation, to you, are not met we reserve the right to issue a fixed charge along with daily interest charges as allowed under the terms of the Act.
Late or non payment of your account will, of course, have an impact on our ability to place your signboards within the maximum time scale we strive to achieve.
Unfortunately due to persistent late payment these terms now mean that if payment is in excess of 14 days in default an invoice for the £40 late payment charge could be issued and if so it WILL BE pursued for full payment. We reserve the right to block your access to the Dashboard once that invoice has been issued.
Termination of our Services
We would expect clients to give us 28 days notice of their wish to terminate our services. Our metaposts are supplied free of charge and we reserve the right to estimate the numbers in use at termination and invoice for them at £3 per item. All invoices outstanding will be due forthwith upon termination of our services. Should we wish to terminate our service to you a time scale cane be agreed while you find an alternative supplier.
Your Privacy & Security
We will not sell, loan or rent your contact details to anyone. We will email clients and prospective clients from time to time with marketing and promotional matter, each communication will contain an ‘unsubscribe’ link.
It is the clients responsibility to ensure the security of their portal and those who have access to it. It is our policy to issue passwords to named individuals and strongly suggest that those using the portal only log on using their personal details and that they do not allow others to use their details. This enables us to effectively monitor who places instructions should a dispute arise as well as being able to withdraw access to any individual at a moments notice, if instructed by the client.
Use of our access portal at www.rapidboard.co.uk implies that you have read and accept these terms and conditions.
Supply of Signboards and Posts
We are now able to supply signboards on 4mm fluted plastic with the graphic in self adhesive vinyl. This makes for a far more durable signboard but has the limitations of the available colours of vinyl. It also allows for a minimum quantity of 5 boards and posts. Posts can be painted in any colour, with the paint finish being refreshed from time to time at no extra cost.
We can create the artwork at no cost for these and gladly quote for supplying them in cut vinyl on 4mm fluted plastic.
